SECTION 1: Platform Structure & Ownership

LMNM operates the auction marketplace under license from In Your Garage, LLC (IYG). IYG owns and manages the backend auction technology platform. LMNM owns all branding, trademarks, marketing materials, user relationships, listing content, and customer data associated with the LMNM auction marketplace. LMNM is the merchant of record for all transactions conducted through the LMNM auction marketplace. Both LMNM and IYG maintain access to the Stripe account and backend database solely for platform operation purposes. All user information and customer data remain in the property of LMNM.

SECTION 2: Governing Law & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan. Any arbitration proceedings shall take place in the State of Michigan.

SECTION 3: Reserve Support (Case-by-Case Basis)

In certain reserve auctions, LMNM may, at its sole discretion and on a case-by-case basis, offer financial assistance to a Seller to facilitate completion of a transaction when the high bid does not meet the reserve price. Such assistance is optional, creates no obligation, establishes no precedent, and does not make LMNM a party to the vehicle sale.

SECTION 4: Buyer Deposit & Enforcement

A valid credit card is required to place bids. A pre-authorization hold will be placed when the first bid is made during an auction. Upon conclusion of an auction, the winning bidder shall be charged a non-refundable Buyer’s Premium equal to five percent (5%) of the final bid amount. Failure to complete the purchase may result in forfeiture of the Buyer’s Premium, suspension of account privileges, and additional remedies under applicable law.

SECTION 5: Auction Technology & Platform Interruptions

LMNM and IYG reserve the right to pause, extend, cancel, relist, or modify any auction in the event of technical malfunction, server interruption, bid display error, suspected fraud, or force majeure events. Decisions made to preserve auction integrity shall be final.

SECTION 6: Payment Processing & Merchant of Record

All payments are processed via Stripe, a third-party payment processor. LMNM is the merchant of record for all transactions. LMNM is not an escrow agent unless expressly stated in writing. Buyer premiums are non-refundable except in cases of platform error or legal obligation.
